1.2 Consideration for the Licence shall be £1.00, receipt of which is hereby acknowledged. We reserve the right to increase such consideration and shall notify you of any increase at which point you will have the right to terminate this Licence.

1.3 You shall sign such documents and give such assistance as we may reasonably request from time to time in order for you to be recorded as licensee against any relevant trade mark registration or pending application which includes the Mark and to have any such record removed on termination of this Licence. You shall not have the rights described in section 30 of the Trade Marks Act 1994.

1.4 You hereby indemnify us against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by us arising out of or in connection with breach or negligent performance or non-performance of the Licence and these terms (including the enforcement of the Licence and these terms).

1.5 We give no warranties and makes no representation whatsoever in or pursuant to this Licence or in respect of the Mark.

1.6 This Licence shall commence on the date you sign this Licence and shall continue until terminated by either us or by you. Our rights in respect of this Licence and the Mark shall continue beyond the date that this Licence is terminated

1.7 In no circumstances shall you be permitted to assign, transfer, mortgage, charge, sub-license, sub-contract, declare a trust over or deal in any other manner with any or all of your rights and obligations under this Licence or the Mark without our prior written consent.

1.8 This Licence and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales. It is agreed that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this agreement or its subject matter or formation.

By signing this Licence you have agreed to enter into this Licence on the date you are signing and are confirming that you have the authority required to sign on behalf of the entity receiving the Licence pursuant to your application.
